Effective 17 September 2026. Inspired by how serious AI labs write their contracts — short sections, plain language, no buried surprises — written for an Australian execution layer, not a US consumer chatbot.
1. Who we are
Fulcrum Cortex is the AI execution layer for business: specialised agents (including Code, Lyre, and CRM), orchestrated with your team from Discord, Telegram, WhatsApp or Slack, plus website hosting where included in your plan. In these Terms, “Fulcrum”, “we”, “us” and “our” mean the Australian Fulcrum company that invoices you. “You” means the person or organisation buying or using the Services.
These Terms form a binding contract. Related documents: our Privacy Policy and the published prices on Pricing.
2. How you accept — including checkout
You accept these Terms by doing any of the following: creating an account; clicking Subscribe, Buy, or Pay on our site or on Stripe; ticking a terms checkbox; or using the Services after we have shown you these Terms.
Checkout is the contract. When you continue to Stripe and complete payment, you confirm that you have read these Terms and the Privacy Policy, and you enter the subscription or add-on contract described here. If you buy on behalf of a company, you warrant that you have authority to bind that company.
3. Eligibility and accounts
You must be at least 18, and able to form a contract under Australian law. Provide accurate billing and contact details. You are responsible for activity under your workspace, including your staff and any agents you authorise. Keep credentials and channel tokens secure. Tell us promptly if you suspect unauthorised access.
4. Monthly subscription contract
Cortex is sold as a monthly subscription in Australian dollars, exclusive of GST. GST is added at checkout (currently 10% for Australian supplies). Two published usage levels of the same product:
- Small — A$169.00 per month + GST. All core features and website hosting. Built for small businesses.
- Growing — A$358.00 per month + GST. The same product with higher usage capacity, plus website hosting. Built for growing businesses.
Unless we say otherwise in writing:
- Fees are charged in advance at the start of each monthly period.
- The subscription automatically renews each month on the same billing cycle until you cancel.
- We charge the payment method you give Stripe, including GST and any card-issuer fees they pass through.
- Failed payment may pause or downgrade the Services until the invoice is paid. We may retry the charge.
- We may change published prices. For an increase on a plan you already pay, we will give at least 30 days’ notice; the new price applies from the next renewal. Cancel before that renewal if you do not agree.
Phone calls and SMS use credits included in the subscription. Extra credits can be added if you need them. We do not invent or guarantee a specific credit quantity on the marketing site; your workspace shows what you have.
5. Human in the loop
Human-in-the-loop support is billed separately from the monthly plan, unless a written order says otherwise:
- 10-hour pack — A$99.00 per hour + GST (A$990.00 + GST for 10 hours).
- Extra hours — A$109.00 per hour + GST.
Pack hours are for the named workspace and do not automatically roll over unless we say so in writing. Buying a pack or extra hour on Stripe is a separate purchase under these same Terms.
6. Cancellation, refunds, consumer law
Cancel anytime before the next renewal to stop further subscription charges. Access continues to the end of the period you have already paid. Subscription fees already paid are not refunded except where Australian Consumer Law (ACL) or other mandatory law requires it, or where we choose to refund.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the ACL or other laws that cannot be excluded. Where we are allowed to limit our liability for a breach of a non-excludable guarantee, we limit it to resupplying the Services or paying the cost of resupply.
7. How the AI layer works
Cortex uses machine learning, voice, messaging and automation. Outputs and actions can be wrong, incomplete, or outdated even when they look confident. You agree that:
- You will not treat Outputs as the sole source of truth or as a substitute for professional advice.
- You will review Outputs — with a human where it matters — before relying on them in the real world.
- You must not use Outputs to make significant decisions about a person (credit, employment, housing, legal, medical or similar) without independent human judgement and a lawful basis.
- Other customers may receive similar Outputs. Similarity does not mean copying your confidential work.
As between you and Fulcrum, you retain your Input. To the extent the law allows, we assign to you any rights we have in Output generated for your workspace. We do not claim your customer lists, campaign copy, or codebase.
We do not use your business Input or Output to train foundation models for other customers. We may process Content to run, secure, and debug the Services, to prevent abuse, and to comply with law.
8. Acceptable use
You must not use the Services to:
- Break the law, or infringe anyone’s rights (including privacy, publicity, and intellectual property).
- Scam, phish, harass, or send unlawful spam via calls, SMS, or messaging channels.
- Impersonate a person or brand, or present AI Output as human-authored where that would mislead.
- Probe, disrupt, or reverse engineer the Services except where Australian law says you may.
- Build or train a competing foundation model on our Output.
- Resell the Services as your own product without a written partner agreement.
Voice, SMS and messaging must comply with the Spam Act 2003 (Cth), the Do Not Call register, and any comparable rules in the countries you call. You are the sender of those messages. Fulcrum provides the pipes.
9. Channels, hosting, third parties
Cortex may run through Telegram, Discord, WhatsApp, Slack, Stripe, carriers, and hosting we include in the plan. Those providers have their own terms. We are not responsible for outages or policy enforcement on their side. Website hosting included in a plan is for the Cortex-provisioned site, with SSL, on infrastructure we choose. It is not a general-purpose cloud account.
10. Our intellectual property
Fulcrum and its licensors own Cortex, the origami mark, the software, models we bring, and the look of the product. You get a limited, non-exclusive, non-transferable right to use the Services during a paid term. You may not copy, lease, or reverse engineer except as the law allows.
11. Privacy
We handle personal information as described in the Privacy Policy. Stripe collects payment details. We do not store full card numbers on Cortex.
12. Warranties and liability
Subject to section 6 (ACL), the Services are provided as-is and as-available. We do not promise uninterrupted uptime, error-free Output, or that the layer will achieve a particular business result.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or pure economic loss (including lost profits, goodwill, or data), even if we were told it might happen. Our aggregate liability for all claims arising out of these Terms or the Services is limited to the fees you paid us for Cortex in the 12 months before the claim arose.
You will indemnify Fulcrum against third-party claims arising from your Content, your use of the Services (including calls and SMS you send), or your breach of these Terms, except to the extent we caused the loss.
13. Suspension and ending the contract
You may stop using the Services at any time and cancel as in section 6. We may suspend or terminate if you breach these Terms, if we must to comply with law, or if your use risks harm to Fulcrum, other customers, or the public. We will try to give notice where it is reasonable. Sections that should survive (including 7, 10, 12, 14) survive termination.
14. Changes, law, contact
We may update these Terms. Material changes that adversely affect you get at least 30 days’ notice by email or in-product notice. If you keep using or paying after that, you accept the update. If you do not agree, cancel before it takes effect.
These Terms are governed by the laws of Australia. Courts of competent jurisdiction in Australia may hear disputes. We would rather fix issues in writing first — email legal@fulcrumcortex.com.
These Terms are the entire agreement for Cortex, unless we sign a separate order. If a court strikes out a clause, the rest remains. We may assign this contract to an affiliate or successor; you may not assign without our consent.
